Terms of Service

1. Acceptance of Terms

By accessing and using QuadGenie® ("the Service"), you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

QuadGenie® is a cloud-based quoting and proposal platform specifically designed for water treatment companies. The Service includes:

• Quote generation and management tools
• Product catalog and pricing management
• Customer relationship management features
• Formula and calculation engines
• Reporting and analytics tools
• Related support services

3. Account Registration

Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and current

4. Subscription and Payment

Subscription Plans

QuadGenie® is offered as a subscription service with pricing based on your selected plan. All subscriptions automatically renew unless cancelled.

Payment Terms

• Payment is due upon subscription and at each renewal period
• All fees are non-refundable except as required by law
• We reserve the right to change prices with 30 days notice
• You are responsible for all applicable taxes

Free Trials

If we offer a free trial, you may be required to provide payment information. You will not be charged until the trial period ends unless you cancel before the trial expires.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Impersonate another person or entity
• Sell, resell, or exploit the Service without authorization
• Use the Service to send spam or unsolicited communications
• Reverse engineer or attempt to extract source code
• Access, use, or monitor the Service if you are a direct competitor of QuadGenie®, except with our prior written consent. You may not use the Service for purposes of competitive analysis, the development of a competing software product or service, or any other purpose that is to QuadGenie's commercial disadvantage. You further agree not to copy, frame, or mirror any part or content of the Service, or reverse engineer, decompile, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Service to build a competitive product or service."

6. Intellectual Property Rights

QuadGenie® Property

The Service, including all content, features, and functionality, is owned by QuadGenie® and is protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain all rights to your data, including:

• Product catalogs and pricing information
• Customer data and lists
• Proprietary formulas and business rules
• Quotes and proposals created using the Service

License Grant

You grant QuadGenie® a limited license to use, process, and display your content solely for the purpose of providing the Service to you.

7. Data Security and Privacy

We implement industry-standard security measures to protect your data. Your use of the Service is also governed by our Privacy Policy. We maintain logical isolation between customer accounts to ensure data segregation.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not disclose it to third parties, except as required by law or with written consent.

9. Service Level Agreement

Availability

We strive to maintain 99.9% uptime for the Service, excluding scheduled maintenance.

Support

We provide email support during business hours (9 AM - 5 PM CST, Monday-Friday). Response times vary based on your subscription plan.

10. Warranties and Disclaimers

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUADGENIE® SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless QuadGenie® from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data

13. Termination

By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you violate these Terms or for any other reason with notice.

Effect of Termination

Upon termination:

• Your access to the Service will cease
• You may request export of your data within 30 days
• We will delete your data after 90 days unless legally required to retain it
• All accrued charges remain due and payable

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of modified Terms.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming.

16. Dispute Resolution

Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

17. Export Compliance

You agree to comply with all applicable export and import laws and regulations.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and QuadGenie® regarding the Service.

19. Severability

If any provision of these Terms is found to be invalid, the remaining provisions shall continue in full force and effect.
